Plain English Summary: ByteLogic Accounting is software that helps you manage your UK Ltd company's accounts, payroll, and HMRC submissions. You're responsible for the accuracy of your data. We'll do our best to provide reliable software, but you should always verify important submissions.
1. Agreement to Terms
By using ByteLogic Accounting ("the Service"), you agree to these Terms & Conditions. If you don't agree, please don't use the Service.
These terms constitute a legally binding agreement between you and ByteLogic Ltd (Company Number: 15073068).
2. Service Description
ByteLogic Accounting provides:
- Bookkeeping and transaction management
- Financial reporting (Profit & Loss, Balance Sheet)
- VAT calculation and MTD submission to HMRC
- Payroll processing and RTI submission
- Invoice generation and time tracking
- Bank account integration
- Ltd company compliance tools
3. Your Responsibilities
You are responsible for:
- Data accuracy: Ensuring all information you enter is correct and complete
- Legal compliance: Meeting your legal obligations as a company director
- Account security: Keeping your login credentials secure
- Verification: Reviewing submissions before they're sent to HMRC
- Backup: Maintaining your own records as required by law

4. HMRC Submissions
When you use ByteLogic Accounting to submit data to HMRC:
- You authorise us to act on your behalf using HMRC's APIs
- You are legally responsible for the accuracy of all submissions
- Submissions cannot be undone once sent - amendments must follow HMRC procedures
- We are not liable for penalties resulting from incorrect data you provided
5. Subscription and Payment
5.1 Pricing
- Current pricing is £29/month for the Standard plan
- Prices may change with 30 days notice
- All prices are in GBP and include VAT where applicable
5.2 Billing
- Subscriptions are billed monthly in advance
- Payment is processed via Stripe
- Failed payments may result in service suspension
5.3 Cancellation
- You may cancel at any time from your account settings
- Access continues until the end of your paid period
- No refunds for partial months
- You can export your data before cancellation
6. Free Trial
If we offer a free trial:
- Trial length will be specified at sign-up (typically 14 days)
- Full features are available during the trial
- No payment required to start the trial
- Your subscription begins automatically unless you cancel before the trial ends
7. Acceptable Use
You agree NOT to:
- Use the Service for illegal purposes
- Attempt to access other users' data
- Reverse engineer or copy the software
- Resell or redistribute the Service
- Submit false information to HMRC
- Overload or disrupt our systems
8. Intellectual Property
ByteLogic Ltd owns all intellectual property rights in the Service. You retain ownership of your data. By using the Service, you grant us a limited licence to process your data to provide the Service.
9. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranty
- We do not guarantee uninterrupted or error-free service
- Our total liability is limited to the fees you've paid in the last 12 months
- We are not liable for indirect, consequential, or incidental damages
- We are not liable for HMRC penalties resulting from your data errors
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.
10. Data Protection
We process your data in accordance with our Privacy Policy and UK GDPR. You can request data export or deletion at any time.
11. Service Availability
- We aim for 99.9% uptime but do not guarantee it
- Scheduled maintenance will be announced in advance where possible
- We may suspend the Service for security or legal reasons
12. Changes to Terms
We may update these terms. Significant changes will be notified via email at least 30 days before taking effect. Continued use after changes constitutes acceptance.
13. Termination
We may terminate or suspend your account if you:
- Breach these terms
- Fail to pay subscription fees
- Use the Service for illegal purposes
Upon termination, you may export your data for 30 days.
14. Governing Law
These terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the English courts.
